Overview

These Terms of Service ("Terms") are a legal agreement between Soothd LLC ("Soothd," "we," "us," or "our") and you as a user of Soothd's Services ("you" or "your"). We make our website available so that you can learn about our company and products, and so that you can order those products. Your use of our website at wearsoothd.com, our owned and operated social media channels, our email and text message programs, and any services we provide in connection with them (collectively, the "Services"), as well as your purchase of Soothd products through the Services, are subject to these Terms.

BY USING THE SERVICES AND/OR PURCHASING PRODUCTS, YOU AGREE TO AND WILL BE DEEMED TO BE BOUND BY THESE TERMS. If you do not want to be bound by these Terms, do not use the Services.

Section 22 of these Terms sets out how disputes between you and us are resolved. Please read it carefully.

Our store is hosted on Shopify Inc., which provides us with the e-commerce platform that allows us to sell our products to you.

Section 1 - Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or country of residence, and that if you permit a minor dependent to use the Services on a device you own or manage, you do so with your consent and remain responsible for that use.

To use the Services, including browsing our store or purchasing any products, you may be asked to provide certain information such as your email address, billing details, payment details, and shipping address. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

If you create an account, you are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person.

Section 2 - Our Products

We have made every effort to represent our products accurately in our store. However, colours, fabric appearance, and fit may differ from how they appear on your screen depending on the device you use and its display settings.

Our products are garments, not medical devices. We do not make, and you should not infer, any claim that our products diagnose, treat, cure, or prevent any medical condition. If you have a medical condition affecting your back, shoulders, chest, or posture, consult a qualified healthcare professional before relying on any garment for support.

We do not warrant that the appearance, fit, or quality of any product you purchase will meet your expectations or be identical to how it is depicted in our store. Fit varies between individuals, and we provide sizing guidance as an aid only — it is not a guarantee of fit.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time, and to limit the quantities of any product we offer to any person, geographic region, or jurisdiction, on a case-by-case basis.

Section 3 - Orders

When you place an order, you are making an offer to purchase. Soothd reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted.

Please review your order carefully before submitting it. Because we begin processing orders promptly, we may be unable to accommodate cancellation or address-change requests after an order is accepted. Where we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at the time the order was placed.

All product offers are subject to availability. We reserve the right to modify the items offered through the Services at any time. If a product is unavailable after you place your order, we will notify you, and you may choose a different available item, wait for the product to be restocked where that is expected within a reasonable timeframe, or cancel that part of your order. We will not be liable if products are out of stock or otherwise unavailable.

We reserve the right to refuse, limit, or cancel orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors, or that involve suspected fraud or abuse. These restrictions may include orders placed under the same customer account, the same payment card, or the same billing or shipping address.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

Returns, exchanges, and refunds are governed by our Refund Policy, which forms part of these Terms and is available at wearsoothd.com/policies/refund-policy. Please read it before ordering — it sets out which items are eligible, and, because we sell intimate apparel, which items cannot be returned for hygiene reasons.

Section 4 - Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time your order is placed, as set out in your order confirmation email. Unless expressly stated otherwise, posted prices do not include taxes, shipping, handling, customs, or import charges, which are your responsibility where they apply.

Prices in our online store may differ from prices offered by third-party retailers or marketplaces.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases. You agree to promptly update your account information, including your email address and payment card details, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the payment information you provide is true, correct, and complete; (ii) you are authorised to use the payment method for the purchase; (iii) charges you incur will be honoured by your payment provider; and (iv) you will pay the charges you incur at the posted prices, including shipping, handling, and all applicable taxes.

You may see authorisation holds or pending charges when you add or update a payment method or place an order. These are standard anti-fraud practices and do not represent final charges. The amount and duration of a hold depends on your card issuer's policies.

Section 5 - Shipping and Delivery

All delivery times shown are estimates only and are not guaranteed. We are not liable for shipping or delivery delays, including delays caused by carriers, customs processing, weather, or other events outside our control.

Once we transfer products to the carrier, title and risk of loss pass to you.

We reserve the right to ship partial orders at no additional cost to you, and the portion of an order that is shipped may be charged at the time of shipment.

Tracking information is provided by our carriers and our order-tracking provider. We make no warranty as to its availability or accuracy, as it is not under our control.

Section 6 - Promotions and Discount Codes

From time to time we offer discount codes, bundle offers, multi-item offers, gifts with purchase, referral rewards, and other promotions (each a "Promotion"). The following terms, together with any terms published with the Promotion itself, govern their use. Where a Promotion's own terms conflict with these Terms, the Promotion's terms govern for that Promotion.

Promotions:

• must be used in a lawful manner, for their intended audience and purpose;
• may not be duplicated, sold, transferred, or made available to the general public, including by posting to public forums or coupon sites, unless we expressly permit it;
• may not be combined with other Promotions unless we state otherwise;
• may be limited to one per customer, household, or payment method;
• may expire, and we may adjust expiry dates and offer amounts at our sole discretion;
• may be redeemed only through the Services, toward products available at the time of redemption, and cannot be applied to orders already placed;
• have no cash value and are not redeemable for cash, credit, or points except where required by law;
• do not exempt an order from sales tax or shipping charges.

Any balance exceeding the value of a Promotion must be paid by another accepted payment method.

We may refuse, modify, cancel, or hold for review any Promotion or order where we suspect fraud, abuse, or a Promotion issued in error, in whole or in part, to the extent permitted by law. We may terminate your eligibility for Promotions or your account if you open multiple accounts to claim an offer more than once, use false names, impersonate others, or otherwise provide false or misleading information.

Section 7 - Intellectual Property

The Services, including all trademarks, brand elements, text, displays, images, graphics, product photography, video, and audio, and the design, selection, and arrangement of them, are owned by Soothd, its affiliates, or its licensors, and are protected by United States and foreign copyright, trademark, patent, and other intellectual property laws.

Subject to your compliance with these Terms, Soothd grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your personal, non-commercial purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent. All rights not expressly granted are reserved.

The Soothd name, logo, product names, designs, and slogans are trademarks of Soothd or its affiliates or licensors. Without our prior written permission, you must not use those marks, or any mark confusingly similar to them: (a) as or as part of any trademark, trade name, service mark, company name, or domain name; (b) in any advertising, marketing, promotional, or sponsored content; (c) in connection with any product, service, or business not owned or expressly authorised by us; (d) in any manner likely to cause confusion as to source, sponsorship, or affiliation; or (e) in any manner that disparages or discredits Soothd or its products. Any goodwill arising from authorised use of our trademarks belongs solely to Soothd.

Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names and marks appearing on the Services are the trademarks of their respective owners.

Section 8 - Reviews, Photographs and Feedback

If you submit, upload, post, email, or otherwise transmit any reviews, ratings, photographs, videos, ideas, suggestions, proposals, or other content to us or through the Services, including through our reviews platform, our surveys, our support channels, or our social media channels (collectively, "Submissions"), you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display those Submissions in any media now known or later developed, for any purpose, including advertising and other commercial use.

This means, for example, that a photograph you submit with a product review may appear on our website, in our emails, or in our advertising. If you do not want your Submission used in this way, do not submit it.

You represent and warrant that: (i) you own or have all necessary rights to your Submission, including the rights of every identifiable person appearing in it; (ii) you have disclosed any compensation, free product, or other incentive you received in connection with your Submission; and (iii) your Submission complies with these Terms.

You agree that your Submissions will not violate any right of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights, and will not contain defamatory, unlawful, abusive, or obscene material or any virus or malicious code. You may not use a false email address, impersonate any person, or otherwise mislead us or others as to the origin of a Submission. You are solely responsible for your Submissions and their accuracy.

Any Submission you make is considered non-confidential and non-proprietary, and you acknowledge that you have no expectation of privacy in it. We are under no obligation to keep any Submission in confidence, to pay compensation for it, or to respond to it.

We may, but have no obligation to, monitor, edit, or remove any Submission that we determine in our sole discretion to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates any party's intellectual property rights or these Terms. We may disclose your identity or other information about you to a third party if we receive a valid legal request or a claim that material you posted violates their rights.

If you believe that content on the Services infringes your copyright, please contact us using the details in Section 26 with: (i) a description of the copyrighted work concerned; (ii) a description of the allegedly infringing material and enough information for us to locate it; (iii) your contact details; (iv) a statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law; (v) a statement, signed under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the copyright owner; and (vi) your physical or electronic signature.

Section 9 - Optional Tools

You may be provided with access to third-party tools through the Services that we neither monitor nor control. You acknowledge and agree that we provide access to such tools "as is" and "as available," without warranties, representations, or conditions of any kind and without endorsement. We have no liability arising from or relating to your use of optional third-party tools. Any use of them is entirely at your own risk, and you should make sure you are familiar with and approve of the terms on which they are provided.

We may in future offer new features through the Services. Any such features form part of the Services and are subject to these Terms.

Section 10 - Third-Party Links

The Services may contain materials and links to websites provided or operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. If you leave the Services to access them, you do so at your own risk.

We are not liable for any harm or damage related to your access to third-party websites, or your purchase or use of any products, services, or content on them. Please review the third party's policies and practices carefully before engaging in any transaction. Complaints, claims, or questions about third-party products or services should be directed to that third party.

Section 11 - Relationship with Shopify

Soothd is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Soothd. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Soothd, including any injury, damage, or loss resulting from products purchased. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Soothd.

Section 12 - Privacy

All personal information we collect through the Services is subject to our Privacy Policy, available at wearsoothd.com/policies/privacy-policy, and certain personal information may also be subject to Shopify's own privacy policy. By using the Services, you acknowledge that you have read and agree to our Privacy Policy.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit through the Services may be transmitted to and shared with Shopify and with other service providers, some of which are located in countries other than the one in which you reside. Our Privacy Policy sets out those transfers and your rights in relation to them.

Section 13 - Text Messages

If you opt in to receive text messages from us, you consent to receive recurring automated marketing and transactional messages at the mobile number you provide. Message and data rates may apply. Message frequency varies. Consent is not a condition of any purchase. You may opt out at any time by replying STOP to any message, and you may request help by replying HELP. Carriers are not liable for delayed or undelivered messages.

Section 14 - Errors, Inaccuracies and Omissions

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time and without prior notice, including after you have submitted your order.

We undertake no obligation to update, amend, or clarify information on the Services except as required by law. No update or refresh date shown should be taken to indicate that all information has been modified or updated.

Section 15 - Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (i) for any unlawful or malicious purpose; (ii) to violate any international, federal, state, provincial, or local law, rule, or regulation; (iii) to infringe our intellectual property rights or those of others; (iv) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against our employees or any other person; (v) to transmit false or misleading information; (vi) to send or procure the sending of any unsolicited advertising or promotional material, including junk mail, chain letters, or spam; (vii) to impersonate or attempt to impersonate any person or entity; or (viii) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that may harm Soothd, Shopify, or users of the Services, or expose them to liability.

You also agree not to: (a) upload or transmit viruses or any other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the Services; (e) use any robot, spider, scraper, data-gathering or extraction tool, automated agent, or artificial intelligence tool to access or harvest the Services; or (f) interfere with, bypass, or circumvent any security or authorisation feature, robot exclusion header, or other measure we use to restrict access to the Services.

We reserve the right to suspend, disable, or terminate your access at any time, without notice, if we determine that you have violated any part of these Terms.

Section 16 - Termination

We may terminate this agreement or your access to the Services, or any part of them, at our sole discretion and at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property; Reviews, Photographs and Feedback; Privacy; Termination; Disclaimer of Warranties; Limitation of Liability; Indemnification; Dispute Resolution and Governing Law; Severability; Waiver and Entire Agreement; Assignment; and any other provision that by its nature should survive.

Section 17 - Disclaimer of Warranties

The information presented on or through the Services is made available for general information purposes only. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on it is strictly at your own risk.

EXCEPT AS EXPRESSLY STATED BY SOOTHD, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Some jurisdictions limit or do not allow the disclaimer of implied or other warranties, so the above disclaimer may not apply to you in full.

Section 18 - Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL SOOTHD, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, in those jurisdictions our liability shall be limited to the fullest extent permitted by applicable law.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Section 19 - Indemnification

You agree to indemnify, defend, and hold harmless Soothd, Shopify, and our respective affiliates, directors, officers, employees, agents, contractors, service providers, and licensors from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of (i) your breach of these Terms or the documents they incorporate by reference, (ii) your violation of any law or the rights of a third party, or (iii) your access to and use of the Services.

We will notify you of any claim for which we seek indemnification, provided that a failure to notify promptly will not relieve you of your obligations except to the extent you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including choice of counsel, but will not settle any claim requiring a non-monetary obligation from you without your consent, which shall not be unreasonably withheld. You agree to cooperate in the defence of indemnified claims.

Section 20 - Consumer Rights

Nothing in these Terms affects any statutory rights you have as a consumer that cannot be excluded or limited by agreement under the law of your country of residence. If you are resident in the European Union or the United Kingdom, your statutory rights in relation to faulty goods and, where applicable, your right to cancel a distance purchase, apply in addition to the rights set out in our Refund Policy.

Section 21 - Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under them without our prior written consent, and any attempt to do so will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice to you. These Terms will benefit and bind each party's successors and permitted assigns.

Section 22 - Dispute Resolution

Informal resolution first. Before either party starts a formal legal proceeding, we both agree to try in good faith to resolve the dispute informally. If you have a dispute with us, please contact us first using the details in Section 26, describing the issue, the relevant order, and the outcome you are seeking. We will do the same. If the dispute is not resolved within 30 days of that notice, either party may pursue formal remedies.

Nothing in this section prevents either party from bringing an individual claim in small claims court where it qualifies, or prevents us from seeking injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.

Section 23 - Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such a determination shall not affect the validity and enforceability of any remaining provision.

Section 24 - Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies or operating rules we post on the Services, constitute the entire agreement between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, or proposals, whether oral or written, including any prior version of these Terms. Any ambiguity in the interpretation of these Terms shall not be construed against the drafting party.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically. Your continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.
